General Terms and Conditions (GTC)
1 - General
The following General Terms and Conditions apply to sales between RAD Solutions GmbH (hereinafter "we") and the buyer (hereinafter "you"). Deviating or additional terms and conditions will only be recognized if they have been expressly agreed to in writing. By placing an order, the customer confirms having read, understood, and accepted these General Terms and Conditions. We reserve the right to amend these General Terms and Conditions at any time and without prior notice. The version valid at the time of the order shall apply.
2 – Contract
Orders from end customers are only possible via the RAD Solutions GmbH website. A contract is concluded once the order form has been completed and confirmed. Separate terms and conditions apply to dealers. Offers and contracts for factory deliveries are always subject to approval and availability from the suppliers. Inventory information, sales documents, and offers are always non-binding and without guarantee.
3 – Prices
All prices are quoted in Swiss francs (CHF). For end consumers, prices include the current VAT; for retailers, prices exclude VAT. Retailers are free to set their own prices. Price adjustments due to higher purchase prices, changes in exchange rates or customs duties, as well as unforeseen events, are reserved. Rad Solutions GmbH operates a multi-tiered pricing system. Shops can purchase their way into the next tier by reaching a certain order volume (per brand). Fixed margins are defined for each tier and apply until the agreed-upon period. The order volume is specified by us in the relevant documents. We reserve the right to change the terms and conditions at any time without prior notice. In individual cases, the order volume and duration may deviate from the documents after personal agreement.
4 – Payment
4.1 - B2C:
Payment can be made using the available payment methods. B2C customers can request to order on account. For orders on account, the goods will only be shipped after payment has been received.
4.22 - B2B:
For first-time B2B orders, prepayment is required, with goods being shipped only after payment has been received. Subsequent orders can be placed on account. Invoices are available on a pro forma basis or via direct debit with a 30-day payment term. Invoices are sent electronically via email. A physical copy can be provided to the customer upon request and for a fee. The delivered goods remain our property until full payment has been received. In case of late payment, we reserve the right to charge default interest and expenses. If the buyer defaults on payment, we reserve the right to withdraw from the contract. Unauthorized deductions will be charged back. If the buyer's financial situation deteriorates after conclusion of the contract or if they are in arrears with payment, we are entitled either to deliver against payment of all outstanding amounts or to withdraw from the contract.
5 – Delivery
We strive to deliver your order as quickly as possible. Delivery dates are estimates. Partial deliveries are permitted. In the event of a significant delay, we will inform the client; statutory rights remain unaffected, and claims for damages due to delay are excluded, subject to mandatory provisions. Cancellations must be discussed on a case-by-case basis. Shipments are made via Swiss Post or DPD.
5.1 - Complaints regarding defects in deliveries
The client must inspect the goods immediately upon receipt and report any transport damage in writing to the carrier and to us within 48 hours of delivery, including photographic documentation. Failure to report damage will be deemed acceptance of the goods, subject to the exclusion of latent defects.
6 – Document delivery
Our documents (invoices, credit notes, order confirmations) are sent electronically by default. Postal delivery is available upon request for a fee of CHF 5.
7 – Return rights / Returns
End customers and retailers can return products within 8 days. Returns are only accepted in perfect, unused condition and in the original packaging. The packaging and barcode must be clean and undamaged. The following items will not be accepted: used or damaged goods, hygiene products (e.g., socks, underwear), outlet/liquidation items, or products specially ordered for a customer, such as custom wheels and components. Failure to comply will result in processing fees and shipping costs being charged. Return shipping costs are the responsibility of the customer, unless the return involves a damaged new product. Gift cards and vouchers are excluded from returns.

8 – Warranty and Guarantee
A warranty or guarantee for the delivered goods is provided to the extent that it is offered by our suppliers. This warranty covers defects in materials and workmanship. Further claims, in particular for direct or indirect damages, are excluded. Damage caused by accident, improper use, normal wear and tear, or third-party parts is excluded from the warranty. Defective parts will be repaired or replaced at our discretion. If a warranty claim is rejected, additional time spent (e.g., for cleaning, administrative costs) may be charged. In the event of a warranty claim, all costs for shipping and packaging, as well as for removal and installation, are to be borne by the customer. Claims for damages resulting directly or indirectly from property damage or personal injury are excluded against RAD Solutions GmbH. Product liability claims must be asserted directly against the product manufacturer. In such cases, we will support the process in an intermediary role. The same applies to damage caused by accident, misuse, improper handling, neglect, or natural wear and tear.
8.1 - Warranty services for test bikes
All liability is excluded for test bikes. As these are used bicycles, they may show signs of wear and tear of any kind. RAD Solutions GmbH strives to maintain the bicycles professionally. RAD Solutions GmbH is not liable under warranty and assumes no warranty services beyond the statutory warranty and the manufacturer's warranty.
Since the bicycles are sometimes shipped directly from shop to shop, transport damage can occur. The shops are obligated to return the test bike to the next shop or to us in the same perfect condition in which it arrived.
The customer will be billed for any costs incurred due to damage to the test bikes. We reserve the right to bill the customer retroactively for any damage discovered after the bike's return. All damage will be documented by us. Damage includes any impairment of the bicycle's function, as well as significant paint damage, damage to rims, and similar defects.
8.2 - Warranty services for complete bikes (B2C only)
Warranty processing for third-party products and for the brands we distribute is handled by RAD Solutions GmbH. The respective manufacturer's warranty terms and conditions apply. Furthermore, the conditions outlined in section 8 apply.
9 – Warranty and Compensation
We will replace demonstrably defective goods free of charge or credit the invoice amount, whichever option is available to us. We reject all further claims for direct and indirect damages as well as expenses incurred by the buyer, unless the buyer can demonstrably prove intentional or grossly negligent causation on our part. The buyer is not entitled to any modification or price reduction. Any claim against us is contingent upon the buyer demonstrating proper storage, handling, and regular maintenance of the goods.
10 – Secure Transactions
Our e-commerce system uses SSL (Secure Sockets Layer) – the industry standard for encryption technology, which is used to create a secure transaction environment for online commerce.
11 – Retention of title
The goods remain our property until full payment is received.
12 – Document dispatch
Our documents (invoices, credit notes, order confirmations) are sent electronically. Postal delivery can be requested for a fee.
13 – Liability
Our liability is limited to gross negligence and intent. Mandatory legal provisions (e.g., product liability) remain unaffected.
14 – Jurisdiction and Law
Swiss law applies exclusively. The place of jurisdiction is 6340 Baar.
